Terms of Service — Privacy Analytics

1. Agreement to Terms

By accessing or using Privacy Analytics ("Service"), operated by Aven Vertex ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

These terms apply to all visitors, users, and others who access or use the Service, including free and paid plan subscribers.

2. Description of Service

Privacy Analytics is a privacy-focused website analytics platform. We provide a lightweight tracking script that collects anonymous, aggregated website traffic data without using cookies or collecting personally identifiable information from your website visitors. The data is displayed in a dashboard accessible through your account.

3. Account Registration

To use the Service, you must:

Create an account by providing a valid email address, your name, and a password
Confirm your email address via the confirmation link we send
Be at least 13 years of age (or the minimum age of digital consent in your jurisdiction)
Provide accurate and complete information

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans and Billing

4.1 Plans

We offer a free tier and paid subscription plans (Starter, Growth, Agency, and Scale). Each plan includes specific limits on the number of sites, monthly pageviews, data retention period, custom events, and team members. Current plan details and pricing are available on our website.

4.2 Billing

Paid plans are billed monthly in US dollars (USD). Payment is processed by Dodo Payments, which acts as our Merchant of Record. By subscribing to a paid plan, you authorize Dodo Payments to charge your payment method on a recurring monthly basis.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time from the Billing page in your dashboard. Upgrades take effect immediately. Downgrades take effect at the end of your current billing period. If you downgrade and your usage exceeds the new plan's limits, some features or data may become restricted until your usage is within the new plan's limits.

4.4 Cancellation

You may cancel your subscription at any time from the Billing page in your dashboard. Upon cancellation, your paid plan remains active until the end of the current billing period, after which your account reverts to the Free plan.

4.5 Refund Policy

Starter ($7/mo) and Growth ($15/mo) plans are non-refundable. By subscribing to either of these plans, you acknowledge and agree that all fees paid are final and no refunds will be issued, whether for partial billing periods, unused time, or any other reason.

Agency ($39/mo) and Scale ($79/mo) plans may be eligible for a pro-rated refund at our sole discretion if you cancel within the first 7 days of your initial subscription or a plan upgrade. Refund requests must be submitted by emailing support.aven@gmail.com within the 7-day window. No refunds will be issued after the 7-day period.

For all plans: We do not provide refunds for partial billing periods, unused features, or temporary service interruptions. If you believe you were charged in error (e.g., a duplicate charge or an unauthorized transaction), please contact us within 30 days of the charge and we will investigate. Verified billing errors will be corrected promptly.

By subscribing to any paid plan, you agree to this refund policy and acknowledge that you have read and understood these terms before making your purchase. This refund policy does not affect any statutory rights you may have under applicable consumer protection laws.

5. Acceptable Use

You agree not to:

Use the Service for any illegal or unauthorized purpose
Attempt to circumvent plan limits, rate limits, or security measures
Send automated or bot traffic to inflate analytics data
Use the Service to collect personal data or track individuals (our script is designed not to do this)
Reverse-engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or redistribute the Service without our written permission
Interfere with or disrupt the Service or servers/networks connected to it
Use the Service on websites that contain illegal content

We reserve the right to suspend or terminate your account if we determine you are violating these terms.

6. Data Ownership

Your data is yours. You retain full ownership of all analytics data collected through your account. We do not sell, share, or use your analytics data for any purpose other than providing the Service to you.

Upon account deletion, all your data (account information, sites, and analytics data) is permanently deleted from our systems. This action is irreversible.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Aven Vertex and is protected by applicable intellectual property laws. Our tracking script is provided for your use solely in connection with the Service.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

Our tracking script is designed to be lightweight and non-blocking. If our servers are temporarily unavailable, your website will continue to function normally — no analytics data will be collected during the outage, but your visitors' experience will not be affected.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Aven Vertex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

11. Indemnification

You agree to indemnify and hold harmless Aven Vertex, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may also delete your account at any time from the Settings page in your dashboard.

Sections that by their nature should survive termination (including Limitation of Liability, Disclaimer of Warranties, Indemnification, and Governing Law) shall survive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the new terms, you should stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or in the courts of competent jurisdiction.
